Welcome to MediaSchnell. These Terms of Service ("Terms") govern your use of the MediaSchnell service ("Service") operated by Silineon, a trade name of Blue Mango Ventures Inc. ("Silineon," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Description of Service

MediaSchnell is a web-based tool that transcribes and summarizes audio and video content, including podcasts, YouTube videos, and uploaded media files. The Service uses artificial intelligence to generate transcripts, summaries, and insights from media content you provide.

2. User Responsibilities and Content Rights

By using the Service, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to use, reproduce, and process the audio and video content you submit to the Service.
• Your use of the content does not violate any applicable laws, including but not limited to copyright, trademark, privacy, or publicity rights.
• You have the authority to grant us the limited license described in these Terms to process the content on your behalf.
• You will not submit content that infringes on the intellectual property rights of any third party.

Silineon does not verify content ownership. We have no obligation to monitor, review, or verify the content you submit. We rely entirely on your representations regarding your rights to use such content.

3. License Grant

By submitting content to the Service, you grant Silineon a limited, non-exclusive, worldwide, royalty-free license to process, transcribe, and summarize the content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

We do not claim ownership of your content. All intellectual property rights in the original content remain with their respective owners.

4. Acceptable Use

You agree not to use the Service to:

• Process content that you do not have the right to use
• Violate any applicable local, state, national, or international law
• Infringe on the intellectual property rights of others
• Transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service in any manner that could damage, disable, or impair the Service
• Use automated means to access the Service without our written permission

5. Account Terms

You may use certain features of the Service without creating an account. If you create an account:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

6. Disclaimer of Warranties

We do not warrant that:

• Transcriptions or summaries will be accurate, complete, or reliable
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

AI-generated content may contain errors, inaccuracies, or omissions. You should verify any important information independently.

7. Limitation of Liability

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service
• Any errors, inaccuracies, or omissions in transcriptions or summaries
• Any content you submit that infringes on third-party rights
• Any third-party claims arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless Silineon and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit to the Service
• Any claim that content you submitted infringes on the rights of a third party

9. DMCA and Copyright Complaints

If you believe that content available through the Service infringes your copyright, please contact us at [email protected] with the following information:

• A description of the copyrighted work you claim has been infringed
• A description of where the material is located on the Service
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate
• Your physical or electronic signature

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using account deletion features in the Service.

11. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and Silineon agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: YOU AND SILINEON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of British Columbia, Canada.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be unenforceable, such provision shall be modified to reflect the parties' intention, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Silineon regarding the Service and supersede all prior agreements and understandings.
